Bylaws

The Board of Trustees have proposed a revision to our bylaws. These proposed bylaws can only come into effect if they are accepted by the members of the Society.

Overview of Proposed Changes

Twenty years is a long time for Bylaws to go without changes, especially given the growth the Society has undergone in that same time. The revised Bylaws, now called a Code of Regulations per standard usage, have been revised and updated for 2024. Here are a few of the changes:

  • With the rise of Zoom, and similar platforms, meetings can now be held in a variety of formats. The new Code of Regulations provides for this change and allows for hybrid
    (online and in person) meetings, as needed.
  • Any Society member can be appointed to one of the standing committees of the Board, or any ad hoc committees that are created. This had been the purview of the President and now is a function of the Executive Committee.
  • The 2004 Bylaws required approval of the Society at large to be modified. The new Code of Regulations places that authority in the Board of Trustees, which is much more
    common.
  • The number of consecutive terms a member of the Board of Trustees may serve has been changed from two to three. This change was made to align with current practice of the
    Board.
